Senior Associate

We are seeking a highly qualified Senior Associate to join our Corporate and M&A Department.

Responsibilities:

  • Provide strategic advice to clients on corporate governance, M&A transactions, regulatory compliance, and other corporate matters.

  • Act as the main liaison for clients throughout engagements, overseeing relationships with organizational leaders.

  • Conduct thorough due diligence reviews of target companies, including legal, financial, and regulatory assessments.

  • Draft, review, and negotiate legal documents, contracts as well as due diligence reports and preparing legal advises and opinions.

  • Develop and sustain productive client relationships, establish credibility, and deliver exceptional client service.

  • Optimize the management of time, effort, and resources to achieve peak efficiency.

  • Stay up to date of changes in relevant laws, regulations, and industry best practices related to mergers and acquisitions.

  • Conduct legal research and analysis on complex issues related to mergers and acquisitions.

  • Assist in the resolution of legal disputes and issues arising during the merger and acquisition process.

  • Participate in negotiations and meetings with counterparties, as well as any other legal professionals.

  • Oversee the distribution of assignments among associates and subordinates.

  • Offer assistance and mentorship to junior team members, providing guidance and support as needed.

Qualifications:

  • Minimum of 5 -7 years of experience practicing corporate law, with a focus on mergers and acquisitions.

  • Admitted to the Egyptian Bar Association.

  • Excellent leadership and management skills.

  • Strong understanding of corporate governance principles, securities laws, and regulatory requirements.

  • Excellent drafting, negotiation, and communication skills.

  • Ability to work independently and collaboratively in a team-oriented environment.

  • Exceptional analytical and problem-solving abilities.

  • Demonstrated ability to manage multiple priorities and deadlines effectively.

  • High level of professionalism, integrity, and attention to detail.

  • Experience working with cross-functional teams and external stakeholders.

  • Proficiency in Microsoft Office Suite and legal research tools.

  • Excellent communication both written and verbal in English and Arabic.
