Senior Associate
We are seeking a highly qualified Senior Associate to join our Corporate and M&A Department.
Responsibilities:
Provide strategic advice to clients on corporate governance, M&A transactions, regulatory compliance, and other corporate matters.
Act as the main liaison for clients throughout engagements, overseeing relationships with organizational leaders.
Conduct thorough due diligence reviews of target companies, including legal, financial, and regulatory assessments.
Draft, review, and negotiate legal documents, contracts as well as due diligence reports and preparing legal advises and opinions.
Develop and sustain productive client relationships, establish credibility, and deliver exceptional client service.
Optimize the management of time, effort, and resources to achieve peak efficiency.
Stay up to date of changes in relevant laws, regulations, and industry best practices related to mergers and acquisitions.
Conduct legal research and analysis on complex issues related to mergers and acquisitions.
Assist in the resolution of legal disputes and issues arising during the merger and acquisition process.
Participate in negotiations and meetings with counterparties, as well as any other legal professionals.
Oversee the distribution of assignments among associates and subordinates.
Offer assistance and mentorship to junior team members, providing guidance and support as needed.
Qualifications:
Minimum of 5 -7 years of experience practicing corporate law, with a focus on mergers and acquisitions.
Admitted to the Egyptian Bar Association.
Excellent leadership and management skills.
Strong understanding of corporate governance principles, securities laws, and regulatory requirements.
Excellent drafting, negotiation, and communication skills.
Ability to work independently and collaboratively in a team-oriented environment.
Exceptional analytical and problem-solving abilities.
Demonstrated ability to manage multiple priorities and deadlines effectively.
High level of professionalism, integrity, and attention to detail.
Experience working with cross-functional teams and external stakeholders.
Proficiency in Microsoft Office Suite and legal research tools.
Excellent communication both written and verbal in English and Arabic.
