Imane Raouf is an expert in various practice areas of law, including Capital Market and Companies Laws, on which she provides day-to-day advice. Imane has vast experience working in the Corporate, M&A, and Capital Market departments of a number of top tier law firms in Egypt. Raouf has a wide range of experience advising Egyptian and international clients in a variety of general corporate matters and transactions. Imane is specialized in financial activities such as bonds, asset financing, real estate financing, factoring, consumer finance, microfinance, incorporation and licensing of financial institutions as well as their day-to-day advice.  

Additionally, Imane developed an expansive experience in debt capital market field, she acts as the legal advisor of numerous successful transactions, including private bonds, securitization bonds and debt restructuring.

Previously, Imane worked for the Egyptian Competition Authority; leading her to be an expert in all competition-related matters. Imane participated in the drafting of the essential transaction documents, primarily the contracts required in M&A transactions, such as Share Purchase Agreements, Shareholders Agreements, and Escrow Agreements, in addition to the transactional documents in relation to securitization transactions, such as the Information Memorandum and related documents. She has also participated in major initial public offerings (IPOs) and private placements, including drafting the appropriate sections of the International Prospectus or Offering Memorandum and reviewing underwriting agreements and/or any other agreements required for the IPO. 

Imane obtained her LLB in International and European Business Law from Paris 1 Pantheon-Sorbonne in association with Cairo University “Licence en Droit des Affaires Internationales et Européennes”. Imane also graduated from Paris 1 Pantheon-Sorbonne with a master’s degree in International and European Business Law. Imane graduated from the Lycée Français with a French Baccalauréat in Economics and Social Studies.

Major Deals:

  • Advised the lenders in a syndicated finance deal of EGP 12.3 billion, between 11 of the top banks in Egypt and borrower, Gharably Integrated Engineering Company (GIECO).

  • Advised Vodacom's €2.5 billion acquisition of 55% stake in Vodafone Egypt.

  • Madinet Nasr for Housing & Development Securitization transaction amounting to EGP 805,500,000 from a multi-issuance program with an amount of 3 billion.

  • El Oula Mortgage Securitization transaction amounting to EGP 998.5 million from a multi- issuance program with an amount of 3 billion.

  • Bedaya Mortgage Securitization transaction amounting to EGP 958 million from a multi- issuance program with an amount of 3 billion.

  • Advised The New Urban Communities Authority’s securitized bond issuance with a value of EGP 10 billion.

  • Advised Egypt’s leading BNPL ValU on Egypt’s 1st Fintech bond asset backed securities transaction amounting to EGP 322.550 million of a 2 billion short-term multiple issuance program

  • Advised a major consumer finance company on its securitized bond issuance with a value of EGP 562 million.

  • Advised Premium International for Credit Services (Premium Card) on its program of multiple securitization issuances worth EGP 2 billion.

  • Advised a leading real estate developer on two securitization transactions, for a value of EGP 498 million and EGP 469 million, respectively.
