Motaz El Dreny is the Founder & Managing Partner of Dreny & Partners, with a career spanning over 20 years, allowing him to be considered an expert in the corporate & securities fields, with a particular focus on debt and equity offerings. He has broad experience in various types of capital market transactions, including public offerings, private placement, and debt restructuring. El Dreny is also well renowned in the mergers and acquisitions field, where he advises both international and local entities on major deals, resulting in the significant growth that is now attributed to the firm.

During his career path, Motaz advised leading corporate, financial institutions and governmental bodies, where his name appeared on many of the most challenging, high profile & significant offerings of recent years.

Previously, El Dreny was a partner with a top tier law firm; overseeing capital market and securities practice. During which, he advised leading corporate and financial institutions in Egypt. Motaz has regularly represented clients in securitizations involving a wide variety of asset types including commercial mortgages, financial lease, and real estate receivables.

El-Dreny has represented clients in structured finance transactions including mezzanine finance and equity-linked (convertible and exchangeable) bond issues. In addition, he represented an Egyptian issuer in Egypt’s first Sharia’a compliant asset backed securities offered on a multi-tranche structure.

Motaz obtained his LLB from the English Department of Cairo University in 2002. Subsequently, he also graduated with a diploma in Corporate Finance and Investment from the Institute of Banking and Finance at the AUC in 2009, and a Master of Laws degree in Financial Services Law from the University of London's External Program in 2013.

Major Deals:

  • Advised Vodacom's €2.5 billion acquisition of 55% stake in Vodafone Egypt.

  • Advised Premium International Company for Credit Services securitization transaction amounting to E£ 170,150,000.

  • Advised the lenders in a syndicated finance deal of EGP 12.3 billion, between 11 of the top banks in Egypt and borrower, Gharably Integrated Engineering Company (GIECO).

  • Advised The New Urban Communities Authority (NUCA) on its 10 billion EGP bond issuance.

  • Advised Egypt’s leading BNPL ValU on Egypt’s 1st Fintech bond asset backed securities transaction amounting to EGP 322.550 million of a 2 billion short-term multiple issuance program

  • Advised a major consumer finance company on its securitization transaction with a value of EGP 497,500,000 and its securitized bond issuance with a value of EGP 562 million

  • Advised Premium International for Credit Services (Premium Card) on its program of multiple securitization issuances worth EGP 2 billion.

  • Advised a leading real estate developer on two securitization transactions, for a value of EGP 498 million and EGP 469 million, respectively.

  • Advised Arab African International Bank in granting sky investments a MTL amounting to EGP 1.3 billion.  

  • Advised New Urban Communities Authority “NUCA” on its securitization transaction with a value of EGP 6 billion.

  • Representing a syndicate of 22 lenders for the arranging of Egypt’s largest locally long-term syndicated loan underwritten EGP 6 billion.
