Ahmad Elgendy is a Managing Associate in the firm’s Corporate and M&A department. He advises local and multinational clients on mergers and acquisitions, joint ventures, corporate structuring, corporate governance, and commercial contracting across diverse sectors.
Ahmad’s work spans the full transaction lifecycle, including structuring, legal due diligence, drafting and negotiating transactional and ancillary documentation (including SPAs, SHAs, and cooperation protocols), and managing closing mechanics—particularly in cross-border matters. He also supports clients on regulatory compliance and corporate housekeeping, and regularly prepares legal memoranda and transaction documentation tailored to commercial risk allocation and implementation.
Mr. Gendy holds an LL.M. in International Trade Law (2022) and an LL.B. (2019). He is fluent in Arabic and English and is a member of the Egyptian Bar Association.

Adviced on the teansaction of the sale of a Boeing B737-800 between AMC and NeoSky.
Advised Flat6Labs on a convertible note exit from an IT company, including the drafting of the SPA.
Conducted legal due diligence and advised on transaction mechanics for the acquisition of Al-Abd for Desserts Industry and Mastercard.
Authored and structured a Protocol of Cooperation for the New Urban Communities Authority (NUCA).
Advised Hudl on regulatory compliance related to VPN usage and internal communications infrastructure in Egypt.
Reviewed and structured a strategic review for the Supply Agreement for MAFI to align legal terms with commercial objectives.
Structured a workforce restructuring and employee separation plan for LDC, ensuring compliance with applicable labor requirements.
Supervised the EGM procedures relating to the capital increase of Mark Communities, resulting in a paid-in share capital of EGP 1 billion.
Supported the Hayah Karima Foundation on legal matters, including governance support and the structuring/review of cooperation protocols and related documentation.
